Faye – Additional Terms: Third Party Software Products

These Additional Terms supplement the Faye Master Subscription Agreement (found here: https://fayedigital.com/terms/msa/ or otherwise executed by the parties) (“FMSA”) and apply to specific aspects of the Products and Services as described herein. Capitalized terms used and not defined herein have the meanings given to them in the FMSA. “Product Order Form”, “Order Form”, and “Ordering Documents” may be used interchangeably. Notwithstanding anything to the contrary in Company’s agreement with Faye, Faye reserves the right, at its sole discretion, to update the Additional Terms detailed below as needed to accommodate development of new features and functionality.  All items specified in this document are also subject to the terms and conditions found here:  https://fayedigital.com/terms/faye-products/.

1. For SugarCRM Products and Services on the Product Order Form, the following applies:
   • Terms and conditions of the SugarCRM Master Subscription Agreement (“SMSA”) located at: http://support.sugarcrm.com/06_Customer_Center/10_Master_Subscription_Agreements/, unless Company and SugarCRM have entered into a separate mutually signed SMSA, which would govern instead. 
   • The Database and File Managed Storage allocations for Company’s SugarCloud instance is based on Company’s product and the number of licensed users. Further details are on this link: https://sugarclub.sugarcrm.com/engage/b/sugar-news/posts/introducing-equitable-managed-storage-allocation. 
2. For Zendesk Products and Services on the Product Order Form, the following applies:
   • Company agrees to the Reseller Subscription Services Agreement found at https://www.zendesk.com/company/customers-partners/reseller-terms-of-service/  
   • The features and functionality found here http://d26a57ydsghvgx.cloudfront.net/www/public/assets/pdf/TechSpecs_archive_preNov2015.pdf are subject to change by Zendesk. 
   • Company agrees that Zendesk Sell is covered by the Security Measures described here: www.zendesk.com/company/customers-partners/protect-service-data-innovation-services/
3. For Freshworks Products and Services on the Product Order Form, the following applies:
   • Company agrees to the terms found here: https://www.freshworks.com/terms/
4. For Asana Products and Services on the Product Order Form, the following applies: 
   • Company’s use of the Products stated herein is subject to the terms and conditions of the following Asana Subscriber Agreement (the “ASA”) located at https://asana.com/terms#subscriber-agreement, unless Company and Asana have entered into a separate mutually signed ASA, which would govern instead. 
   • Company’s use of the Products stated herein is subject to the terms and conditions of the following Asana Subscriber Agreement (the “ASA”) located at https://asana.com/master-subscription-agreement-112021, unless Company and Asana have entered into a separate mutually signed ASA, which would govern instead. 
   • Company is subject to Asana’s Amendment for government customers: https://asana.com/terms#amendment 
5. For Tray.io Products and Services on the Product Order Form or as embedded into a Faye Software Product which includes Synk and Tray for Axia, the following applies:
   • Company agrees to the Master Subscription Agreement found at https://tray.io/msa 
   • Company’s use of the Products stated herein is subject to the terms and conditions of the following Security Policies found at: https://tray.io/documentation/platform/security/tray-security-policies/ 
   • Company’s use of the Products stated herein is subject to the terms and conditions of the following Security Statement found at: https://tray.io/documentation/platform/security/statement/ 
   • Company’s use of the Products stated herein is subject to the terms and conditions of the following Data Protection Commitment found at: https://tray.io/documentation/platform/security/data-protection/ 
6. For Pipedrive Products and Services on the Product Order Form, the following applies:
