Additional Terms

ADDITIONAL TERMS AND CONDITIONS APPLICABLE TO ALL QUOTES, PROPOSALS, ORDER FORM, AND INVOICES (COLLECTIVELY, “ORDERING DOCUMENTS”) ISSUED BY FAYE BUSINESS SYSTEMS GROUP INC. (“FBSG”)

1. In the event FBSG and Company are not signatories to the FSMA or FPSA, then any and all Ordering Documents issued by FBSG are subject to, and incorporate by reference, the terms and conditions of the FBSG Master Services Agreement (“FMSA”)
2. The subscription will begin on the Effective Date and continue for the Subscription Term. Upon expiration of the Subscription Term, the subscription will automatically renew for an additional one-year term (“Renewal Term”).  The Subscription Term will continue to automatically renew for an additional Renewal Term upon expiration of the extended Subscription Term, unless either party gives the other party written notice of non-renewal at least 90 days before the end of the extended Subscription Term. The subscription pricing during any Renewal Term will increase by 8% above the pricing in the immediately prior Subscription Term up to the current list price (assuming (i) the same product version and quantity, (ii) the renewal occurs on the expiration date and (iii) and excludes any prior year promotional prices).
3. Any and all products sold or resold by FBSG are subject to the marketing and promotional material disclaimers and disclosures, as well as the additional sale terms and conditions.
